1. Provider and scope
Provider: Pizzo Matteo Mario, operating under the trade name UP101 (VAT IT02815530064) UP101 Tenerife provides the Client with consulting, implementation, and automation services for direct bookings. Scope is defined in a proposal or specific contract. UP101 Tenerife is the commercial/operating name used for services aimed at the Tenerife market. It does not denote a separate Spanish company.
2. B2B nature
The service is primarily intended for businesses and professionals (B2B). The Client confirms acting in the course of its business or profession.
3. No results guarantee
UP101 does not guarantee minimum bookings, revenue, SEO, conversions, or other commercial results. Estimates and audits are indicative.
4. Client obligations
Provide accurate information, agreed access, and timely approvals. The Client remains responsible for its website content, pricing, and regulatory compliance.
5. Intellectual property
Pizzo Matteo Mario / UP101 retains methodologies, templates, and know-how unless otherwise agreed. Specific deliverables are licensed per contract.
6. Data protection
Where UP101 processes personal data on the Client's behalf, a DPA will be executed. The role (controller or processor) depends on the specific processing.
7. Confidentiality
Both parties keep non-public information confidential except where legally required.
8. Limitation of liability
To the extent permitted by law, the provider's liability is limited to amounts paid by the Client in the twelve months before the claim, excluding indirect damages except wilful misconduct or gross negligence, without prejudice to non-waivable rights.
9. Term and termination
Defined in the proposal or specific contract.
10. Governing law
Law agreed in contract (typically Spanish and/or Italian for B2B), with courts as agreed or as required by mandatory rules.
